Welcome to ZapSketch. These Terms of Service ("Terms") govern your access to and use of the ZapSketch website, software, applications, and related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
ZapSketch provides software intended to assist with electrical planning, estimation, documentation, calculations, reporting, and related workflows.
The Service is provided as a tool to assist users. It is not a substitute for professional judgment, engineering review, inspections, code compliance review, legal advice, or other professional services.
2. Your Responsibilities
You are solely responsible for:
- determining whether the Service is appropriate for your intended use;
- verifying the accuracy and completeness of all information, calculations, reports, recommendations, estimates, drawings, and other outputs generated by the Service;
- ensuring compliance with all applicable laws, regulations, standards, codes, contractual requirements, manufacturer requirements, and project requirements;
- reviewing all work before relying upon it or distributing it.
You acknowledge that the Service may generate outputs based on user inputs, assumptions, software logic, and other information that may contain errors, omissions, inaccuracies, or incomplete information.
You are solely responsible for independently reviewing and verifying all outputs before relying on them for any purpose.
3. Accounts and Subscriptions
Certain features of the Service may require payment or a subscription.
Subscriptions automatically renew unless cancelled before the start of the next billing period.
Pricing, subscription offerings, and available features may change from time to time. Any pricing changes will apply prospectively.
Payments are processed by third-party payment providers. ZapSketch does not store your complete payment card information.
4. Acceptable Use
You agree not to:
- use the Service for any unlawful purpose;
- interfere with or disrupt the operation of the Service;
- attempt to gain unauthorized access to systems, data, or accounts;
- bypass licensing, security, or usage restrictions;
- use the Service in a manner that infringes the rights of others.
5. Intellectual Property
The Service, including its software, branding, design, documentation, and related content, is owned by ZapSketch or its licensors and is protected by applicable intellectual property laws.
Subject to these Terms, ZapSketch grants you a limited, non-exclusive, non-transferable, revocable license to use the Service.
You retain ownership of the projects, documents, files, and other content you create using the Service.
6. Availability
The Service may be modified, updated, suspended, or discontinued at any time.
We do not guarantee that the Service will always be available, uninterrupted, secure, compatible with every environment, or free from errors.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAPSKETCH DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, PERFORMANCE, OR AVAILABILITY.
WITHOUT LIMITING THE FOREGOING, ZAPSKETCH DOES NOT WARRANT THAT ANY CALCULATIONS, REPORTS, ESTIMATES, DRAWINGS, RECOMMENDATIONS, OR OTHER OUTPUTS GENERATED BY THE SERVICE ARE COMPLETE, ACCURATE, ERROR-FREE, COMPLIANT WITH APPLICABLE REQUIREMENTS, OR SUITABLE FOR ANY PARTICULAR PURPOSE.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAPSKETCH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, BUSINESS, GOODWILL, CONTRACTS, OPPORTUNITIES, OR OTHER ECONOMIC LOSS ARISING OUT OF OR RELATING TO THE SERVICE.
WITHOUT LIMITING THE ABOVE, ZAPSKETCH SHALL NOT BE LIABLE FOR ANY LOSS, DAMAGE, COST, CLAIM, DELAY, PROJECT FAILURE, CODE VIOLATION, REGULATORY ACTION, CONSTRUCTION DEFECT, PERSONAL INJURY, PROPERTY DAMAGE, OR OTHER CONSEQUENCE ARISING FROM OR RELATING TO:
- any calculations or outputs generated by the Service;
- reliance upon any calculations, reports, estimates, recommendations, drawings, or other outputs generated by the Service;
- user inputs or assumptions;
- errors or omissions within the Service;
- decisions made using the Service.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAPSKETCH'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF:
- the total amount paid by you to ZapSketch during the twelve (12) months immediately preceding the event giving rise to the claim; or
- CAD $100.
Some jurisdictions do not permit certain exclusions or limitations. In those jurisdictions, portions of this section may not apply.
9. Indemnification
You agree to indemnify and hold harmless ZapSketch from claims, liabilities, damages, losses, costs, and reasonable legal expenses arising out of:
- your use of the Service;
- your violation of these Terms;
- your violation of applicable law; or
- your infringement of the rights of another person.
10. Changes
ZapSketch may update these Terms from time to time.
The most current version will always be published on the Service. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
11. Governing Law
These Terms are governed by the laws applicable in the jurisdiction where ZapSketch is headquartered, without regard to conflict of law principles.
Any disputes relating to these Terms or the Service shall be resolved by the courts having jurisdiction in that jurisdiction, except where applicable law provides otherwise.
